CommonSpirit to transfer Trinity Health System to UPMC

CommonSpirit Health has reached an agreement to transfer ownership of Ohio-based Trinity Health System to the University of Pittsburgh Medical Center, expanding UPMC’s footprint in the Ohio Valley.

The deal includes Trinity West, Trinity East, Trinity St. Clairsville Neighborhood Hospital, Trinity Twin City Medical Center and related outpatient clinics. The transaction is expected to close in fall 2026, subject to regulatory approvals and customary conditions.

Trinity Health System, headquartered in Steubenville, Ohio, is part of Chicago-based CommonSpirit Health, one of the largest nonprofit health systems in the U.S. Financial terms of the agreement were not disclosed.

UPMC, a Pittsburgh-based nonprofit health system and insurer, operates more than 40 hospitals and hundreds of outpatient sites across Pennsylvania, New York and Maryland. The acquisition would extend its presence into eastern Ohio, a region where it already serves patients through affiliated providers and insurance products.

"Trinity Health System and UPMC share a commitment to providing top-tier care and serving the most vulnerable members of our community,” said Dwayne Richardson, interim president of Trinity Health System.

UPMC president and CEO Leslie Davis said the integration is intended to support care delivery across the region. “At the heart of this integration is the enduring commitment of both teams to deliver compassionate, high-quality clinical care and exceptional community services to the Ohio Valley,” she said.

CommonSpirit did not outline specific reasons for the divestiture but described the decision as the result of a selection process. The system operates 158 hospitals and more than 2,300 care sites across 24 states.

Transactions involving nonprofit hospitals typically undergo state and, in some cases, federal review to assess impacts on access, pricing and competition. Additional details about service changes, staffing or capital investments were not provided.
