Hologic nabs Endomagnetics for $310 million

Hologic has announced an agreement to purchase Endomagnetics (Endomag) for about $310 million, a move intended to bolster Hologic's offerings in breast surgery by integrating advanced surgical guidance systems for breast cancer treatment.

Endomag is renowned for its development of the Sentimag localization system, which is used in conjunction with the Magseed marker and Magtrace lymphatic tracer. These products assist in the precise localization of breast tissues during surgeries and are crucial for staging breast cancer, using a non-radioactive approach that enhances safety and efficacy.

“Endomag’s suite of solutions complements our existing breast surgery portfolio and will provide surgeons and radiologists with an expanded range of options to meet the individual needs of more patients undergoing critical breast cancer procedures,” said Erik Anderson, president of breast and skeletal health solutions at Hologic. “With a global footprint and a similar commitment to women’s health, we are excited about the potential of welcoming the Endomag team and our future opportunities together to increase access to these technologies and better serve patients across the breast health continuum of care.”

Based in the U.K., Endomag reported revenues of approximately $35 million in 2023. The financial impact of the acquisition is expected to be slightly dilutive to Hologic's non-GAAP earnings per share in fiscal 2024, but the company expects to break even by 2025, with accretive benefits following.

Last month, Hologic and Bayer announced a contrast-enhanced mammography (CEM) collaboration, which will bring together Hologic's advanced mammography systems with Bayer's MEDRAD Stellant FLEX CT Injection System, which is notably the only CT injection system cleared by the FDA for CEM applications.
