Spectral AI to explore spinoff possibility under new leadership

Spectral AI Inc., a Dallas-based AI company specializing in wound treatment diagnostics, has announced the appointment of Erich Spangenberg as the CEO of its new subsidiary, Spectral IP — and is contemplating a possible spin off of the unit.

As the name suggests, the Spectral IP subsidiary focuses on healthcare intellectual property, aiming to enhance IP protection and create additional shareholder value without requiring further capital investment from Spectral AI.

Spangenberg, previously a leading figure in global IP investment and monetization, brings expertise from his tenure as co-managing partner at Sauvegarder Investment Management, an investment firm that handles IP financing on an international scale. Spangenberg's IP strategy credentials include involvement in over 1,000 licensing transactions and advisory roles in patent financing and technology acquisition transactions amounting to more than $2 billion.

In his new role, Spangenberg will oversee the preparation of Spectral IP for a potential spin off, a strategic move aimed at unlocking additional shareholder value. This decision follows a $1 million debt capital provision from one of his affiliates, with Spangenberg projecting to secure an additional $5 million to $10 million in equity capital to fund the subsidiary post-spin off.

The creation of a special committee by Spectral AI’s board of directors will provide oversight and proper execution of the spin off process. This committee will evaluate and manage the transaction, which may result in a partial distribution of Spectral IP shares to existing shareholders.

Spectral AI remains focused on advancing its proprietary DeepView System, a predictive tool designed to assess wound healing potential, thereby optimizing treatment strategies for conditions like burns and diabetic foot ulcers. This technology supports clinicians by offering rapid, algorithm-driven insights into wound care, which could significantly influence patient outcomes and reduce healthcare costs.
